Platform Terms & Conditions

Kloqit provides a proprietary Software-as-a-Service (SaaS) platform offering digital booking management, calendar orchestration, and client messaging utilities.

By registering an account, setting up a public business profile, or utilizing Kloqit's booking infrastructure, you (the 'Business' or 'User') enter into a legally binding agreement governing your access and use of the platform.

Kloqit acts solely as a technological facilitator. We do not participate in or influence the transactions, services, or appointments arranged between the Business and its end-customers.

To activate your public business page, you are required to submit accurate, current, and complete business information, including your business name, verified phone number, headquarters address, and optional navigation URLs (e.g., Google Maps link).

You are exclusively responsible for maintaining the confidentiality of your account credentials, sessions, and dashboard access keys.

Kloqit is not liable for unauthorized access, data leaks, or profile modifications resulting from a client's failure to safeguard their account security.

Kloqit integrates automated messaging systems designed to transmit booking confirmations, reminders, and updates directly to your customers via WhatsApp and SMS.

Explicit Consent Required: The Business guarantees, covenants, and warrants that it has secured prior, explicit opt-in consent from each end-customer to receive automated messaging before entering their contact info or scheduling bookings through the platform.

WhatsApp Business Policy: Clients must strictly comply with the standard Meta/WhatsApp Business Policy. Sending spam, mass unsolicited broadcasts, promotional campaigns without consent, or harassing messages is strictly prohibited.

Shared Carrier Reputations: To preserve the delivery success rate of our unified gateways, Kloqit monitors outgoing message volumes. We reserve the right to apply fair-use rate limits or restrict messaging capacities for businesses that trigger unusually high customer block rates.

Carrier & Gateway Liability: Kloqit utilizes external telecom carrier networks and third-party message routing services. We disclaim all liability for delayed, failed, or blocked message transmissions resulting from network outages, recipient phone blocks, or policy changes enacted by Meta/WhatsApp.

At-Will Agreement: This agreement operates on an active basis, commencing upon your business registration and continuing indefinitely until terminated by either party.

Termination by Client: The Business retains the right to terminate this agreement and shut down their workspace at any time, without prior notice. Account deletion is instantaneous and can be triggered directly from the Business Dashboard. Upon deletion, all booking pages are disabled, and automated reminder queues are permanently cleared.

Termination by Kloqit: Kloqit reserves the right to suspend, terminate, or delete a business's access to the platform immediately, without prior notice or liability, in the event of: (a) breach of these Terms, (b) violation of Meta/WhatsApp's messaging policies, (c) failure to maintain accurate business contact information, or (d) any action that poses a risk to Kloqit's infrastructure or other users.

Data Retention Post-Termination: Upon termination, Kloqit will hold client configuration and booking data for a standard grace period of 30 days, after which it will be permanently deleted from active servers, subject to regulatory compliance constraints.

Kloqit Ownership: All proprietary source code, algorithms, styling guidelines, branding assets, logos (including the Kloqit emerald checkmark and Satoshi wordmark), and cloud-hosted infrastructure are and will remain the exclusive property of Kloqit.

Client Ownership: All logos, custom service descriptions, business-specific copy, and customer contact lists uploaded to your dashboard remain your exclusive intellectual property. Kloqit claims no ownership over your client databases.

SaaS License: Kloqit grants you a limited, non-transferable, revocable license to access the frontend dashboard and booking forms to run your business schedule during the active term of this agreement.

Kloqit is provided on an 'as-is' and 'as-available' basis without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

We do not warrant that our booking services, calendar calculations, or WhatsApp notification systems will be entirely uninterrupted, secure, or free from localized latency.

In no event shall Kloqit, its developers, or affiliates be liable for indirect, incidental, special, or consequential damages, including loss of profits, client revenues, business goodwill, or scheduling disputes arising out of service downtime, incorrect booking calculations, or double-booked calendar slots.

Terms Modifications: Kloqit reserves the right to modify or replace these Terms at any time. When substantial updates occur, we will notify businesses via dashboard banners or registered emails.

Continued Use: Continued utilization of the booking dashboard or booking pages post-update constitutes full acknowledgment and acceptance of the revised Terms.

Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the Kloqit corporate parent resides, without regard to conflict of law principles.
